These Terms and Conditions, along with our Privacy Policy and Refund Policy (collectively, "Terms"), constitute a binding agreement by and between FsKnockouT ("Website Owner," "we," "us," or "our"), and you ("you" or "your"), and govern your use of our website www.fsknockout.com (the "Website") and the digital products and services we offer (collectively, the "Services").

By using our Website, creating an account, or completing a purchase, you confirm that you have read, understood, and accepted these Terms in full, including our Privacy Policy and our No Refund Policy. If you do not agree with any part of these Terms, you must not use the Website or purchase any Services.

We reserve the right to modify these Terms at any time, without prior notice and without assigning any reason. It is your responsibility to periodically review these Terms to stay informed of updates. Continued use of the Website after changes are posted constitutes your acceptance of the revised Terms.

1. Nature of Our Services

FsKnockouT sells digital license keys, activation codes, software keys, and other digital goods (collectively, "Digital Products") delivered electronically via email or through the customer account portal.

You expressly acknowledge and agree that:

  • All products sold are digital, intangible, and delivered electronically.
  • Once a key is delivered, revealed, or redeemed, it cannot be returned, reused, or resold.
  • You consent to immediate performance and delivery of the Digital Product upon successful payment, and you waive any statutory right of withdrawal or cooling-off period to the fullest extent permitted by law.

2. Eligibility and Account Registration

To access and use the Services, you agree to:

  • Be at least 18 years of age or the age of legal majority in your jurisdiction.
  • Provide true, accurate, current, and complete information during registration and at checkout.
  • Be solely responsible for all activity conducted through your registered account, including all purchases, communications, and key redemptions.
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized use.

Providing false information, using a stolen or unauthorized payment method, or impersonating another person may result in immediate account termination, order cancellation, and reporting to law enforcement and payment networks.

3. No Warranty / "As-Is" Basis

Neither we nor any third party provides any warranty or guarantee as to the accuracy, timeliness, performance, completeness, or suitability of the information, materials, or Digital Products offered on the Website, for any specific purpose. You acknowledge that such information, materials, and Digital Products may contain inaccuracies or errors, and we expressly exclude liability for any such inaccuracies or errors to the fullest extent permitted by law.

The Digital Products are provided on an "as-is" and "as-available" basis. It is your responsibility to verify product compatibility (region, platform, system requirements, account type) before purchase. We are not responsible for keys that are incompatible with your system, region-locked, platform-locked, or otherwise unsuitable due to your individual circumstances.

Your use of the Website and the Services is solely at your own risk and discretion.

4. Intellectual Property

All content on the Website — including but not limited to text, graphics, logos, images, product listings, code, and design — is the proprietary property of FsKnockouT and is protected by applicable intellectual property laws. You acquire no right, title, or interest in any such content by using the Website or purchasing Services.

You may not copy, reproduce, distribute, scrape, or create derivative works from any part of the Website without our prior written consent. Unauthorized use may result in legal action under applicable laws.

5. Payment, Pricing, and Order Acceptance

  • All prices are listed in the displayed currency and are inclusive or exclusive of applicable taxes as indicated at checkout.
  • We reserve the right to modify prices, run promotions, or correct pricing errors at any time without prior notice.
  • We reserve the right to refuse, cancel, or limit any order at our sole discretion, including orders flagged as suspicious, fraudulent, or in breach of these Terms.
  • You agree to pay all charges associated with your order, including any applicable taxes and fees.
  • By submitting payment, you represent and warrant that you are the lawful owner of the payment method used and that you have full authorization to use it.

6. No Refund / No Return / No Exchange Policy

All sales are final. By placing an order, you acknowledge and agree that:

  • We do not offer refunds, returns, exchanges, or store credit under any circumstances, except as expressly required by applicable mandatory consumer protection law.
  • You waive your right of withdrawal under the EU Consumer Rights Directive (Article 16(m)) and equivalent laws in other jurisdictions, by expressly consenting to the immediate delivery of digital content at the time of purchase.
  • The sole exception is a verified non-functional key, in which case your only and exclusive remedy is a replacement key of equal value, subject to a claim being raised within 24 hours of purchase as set out in our Refund Policy.

The full No Refund Policy is incorporated into these Terms by reference and is binding upon you.

7. Chargebacks and Payment Disputes

You agree that:

  • Initiating a chargeback or payment dispute without first contacting us at admin@fsknockout.com and allowing 72 hours for resolution constitutes a material breach of these Terms.
  • Filing a fraudulent or unjustified chargeback after a Digital Product has been delivered and/or redeemed may constitute friendly fraud / first-party misuse and may be reported to applicable authorities, fraud-prevention networks (such as Ethoca, Verifi), and your card issuer.
  • We will defend all unjustified chargebacks with full evidence, including but not limited to: order logs, IP address, device fingerprint, geolocation, timestamped delivery confirmations, key redemption status, your acceptance of these Terms at checkout, and email correspondence.
  • Accounts associated with fraudulent chargebacks will be permanently blacklisted and may be reported to relevant fraud databases.
  • You agree to reimburse us for all chargeback fees, administrative costs, and legal expenses incurred as a result of an unjustified dispute, recoverable as a debt.

8. Acceptable Use

You agree not to use the Website or the Services:

  • For any purpose that is unlawful, illegal, fraudulent, or prohibited by these Terms or by Indian, UAE, EU, US, or any other applicable law.
  • To resell, sublicense, or redistribute Digital Products without our prior written authorization.
  • To engage in any activity that interferes with or disrupts the Website (including hacking, scraping, denial-of-service attacks, or introducing malware).
  • To use bots, automated tools, or multiple accounts to abuse promotions, exploit pricing errors, or circumvent fraud-prevention measures.
  • To impersonate any person or entity, or to misrepresent your affiliation with any person or entity.

Violation of this section may result in immediate termination of your account, cancellation of pending orders without refund, and legal action.

9. Third-Party Links and Services

The Website and Services may contain links to third-party websites, payment processors, or platforms (e.g., Steam, Microsoft, Sony, Epic Games, Shopify, PayPal, Stripe). We do not control and are not responsible for the content, policies, or practices of any third-party site or service. Once you click a third-party link or activate a key on a third-party platform, you are governed by that party's terms of service and privacy policy.

We are not responsible for any subsequent action taken by a third-party platform regarding the Digital Products you purchase, including but not limited to account bans, key revocations, or platform policy changes occurring after delivery.

10. Binding Contract on Purchase

You understand and agree that upon initiating a transaction for any Digital Product, you are entering into a legally binding and enforceable contract with FsKnockouT. The contract is concluded at the moment payment is successfully processed and the Digital Product is delivered to your registered email or account.

11. Limitation of Liability

To the maximum extent permitted by applicable law:

  • Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Services shall not exceed the amount you paid for the specific Digital Product giving rise to the claim.
  • We shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or any third-party platform sanctions (e.g., account bans), arising from your use of the Services.
  • We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, government action, internet or payment processor failures, supplier defaults, or cyberattacks (a "Force Majeure Event").

12. Indemnification

You agree to indemnify, defend, and hold harmless FsKnockouT and our affiliates, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising out of or related to: (a) your breach of these Terms; (b) your misuse of the Website or Services; (c) any fraudulent chargeback or dispute initiated by you; or (d) your violation of any applicable law or third-party right.

13. Termination

We reserve the right, at our sole discretion, to:

  • Suspend or terminate your account at any time, with or without notice, for any reason including breach of these Terms.
  • Cancel any pending orders associated with a terminated account.
  • Refuse service to any person at any time without justification.

Termination does not relieve you of any payment obligations or liability for breaches occurring prior to termination.

14. Governing Law and Jurisdiction

These Terms, and any dispute or claim relating to them, their subject matter, or their enforceability, shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles.

All disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts in Indore, Madhya Pradesh, India.

For customers located outside India, mandatory consumer protection laws of your country of residence may still apply where such laws cannot be contractually waived.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms, together with the Privacy Policy and No Refund Policy posted on www.fsknockout.com, constitute the entire agreement between you and FsKnockouT, superseding all prior agreements, understandings, or representations.
